Institutional roadmap

What's actually done, what's in progress, and what depends on a real-world gate — not a projection

We don't publish milestones we haven't reached. Each phase below reflects the honest status of our own incorporation and governance work, distinct from any product or commercial roadmap of our technology partner Cafelium SRL.

1
Complete

Legal foundation

  • Full legal corpus atomized against Dominican Law 122-05 and Regulation 40-08 (982 legal atoms, 0 errors).
  • Bylaws (Estatutos Sociales) drafted — 77 articles across 13 titles, covering conflict of interest, related parties and dissolution.
  • 18 institutional policies drafted: ethics, anti-fraud, AML/CFT, safeguarding, data protection, financial management and more.
  • Founding Board designed with named functional ownership and a 3-year rotation principle — no lifetime seats.

A governance and compliance corpus most nonprofits build years after their first grant, ready before incorporation.

2
In progress

Incorporation

  • ONAPI clearance for institutional use of the Terrae name.
  • Domicile evidence and founders' legal identity reconciliation.
  • Formal board office acceptance and final Dominican legal review.
  • Filing with the Procuraduría General de la República (published timeline: ~60 business days).

Full legal personality — the gate that unlocks a bank account, an RNC and the ability to sign a grant directly.

3
Upcoming

First Foundation-led pilot

  • Working-draft MOU with Cafelium SRL for equipment loan and co-financed manufacturing, under our related-party transactions policy.
  • Digital Terroir™ custody architecture finalized — producer-owned data from day one of the first cohort.
  • Baseline data collection and informed consent under our safeguarding and data protection policies.
  • Target communities identified beyond Cafelium SRL's existing pilot farms.

The first batch of verified data that belongs to the Foundation's own program, not to a technology partner's product pilot.

4
Future

Scale & reporting

  • Public MEL dashboard mapped to our Theory of Change and SDG indicators.
  • First independently reviewed financial statements.
  • Board expansion from 5 to 7 seats, prioritizing independent finance/audit and rural development expertise.

A track record a financial institution or bilateral agency can evaluate on its own terms.
